CONTRACT

This contract is made and entered into on ___________________(date) by ____________________ (herein called the client) whose address is _______________________________ and __________ (herein called the contractor) whose address is ______________.  In consideration of the mutual promises in this contract, the parties agree to abide by all the terms of this contract.  It is understood that the contractor is an independent contractor and not an employee of the client and therefore will be responsible for all taxes and withholdings.  

Contractor agrees to do the following:  Medical transcription in accordance with the client's documentation guidelines and form.  Services shall include:

1.   Pick up and delivery of physical tapes or retrieval of voice files off computer.

2.  Transcription in accordance with the client's documentation guidelines and form.

3.  Providing full confidentiality of transcribed material.

4.  Availability for questions and consultation on an as needed basis via phone or in person.

5.  Twenty-four hour turnaround from the time transcription is made available to me, unless otherwise specified.

6.  Billing invoice provided by contractor twice monthly on the 1st and 15th of the month.

7.  Providing delivery of the transcribed documents as computer files via electronic means.

8.  Providing professional service and demeanor to the client at all times.

Pick up and delivery of the physical materials needed to complete this service will be made by the contractor, or her appointed courier, at the client's place of business at such a time agreed upon by both the contractor and the client.  Client agrees to have tapes ready for pick up at the time agreed upon by contractor and client.

  For performing the original transcription work described above, client agrees to pay the contractor the amount of ______(_) cents per line.  For editing as per the instructions of the doctor, the client agrees to pay the contractor the amount of $_________/hour.  It is agreed that according to the definition stated by the American Association of Medical Transcriptionists, sixty-five (65) characters constitute a line.  STAT transcription may be available at a rate of 1-1/2 x normal rate per line and is subject to an as-available basis.

Either party may terminate this contractual agreement (termination must be submitted in writing) on not less than 15 days' notice.  However, repeated failure to provide transcription on a timely basis on the part of the contractor, breech of confidentiality statement on the part of the contractor, or failure to comply with timely payments on the part of the client may result in immediate termination of this contract.  This must be submitted in writing.  At the time of termination materials belonging to the client must be returned, and any and all completed transcription by the contractor must be paid for, in full.  Contract will be considered still in effect until all monies owed to contractor are paid in full.

Confidentiality:  As a contractor, it is the contractor's responsibility not to violate any confidence of the patient or their family through indiscriminate discussion pertaining to patients, their treatment, diagnosis, or progress.  The contractor understands and agrees that all patient records and patient information are strictly confidential and will not make any disclosures.

It is the contractor's policy that computer-authenticated or other artificial signatures generated by means other than the actual dictating physician's signature are not endorsed by the contractor.  Therefore the doctors should proofread their transcription for document content, accuracy and quality control.

No changes shall be made in this agreement unless those changes are agreed to in writing by the contractor and by the client.
